Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") are a contract between you and R.O. Ventures LLC ("Bobibo," "we," "us"). They govern your use of the Bobibo website, web application, and related services, including our integrations and AI features (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a business, you agree to these Terms on its behalf and confirm you have authority to do so.

2. The Service

Bobibo is business management software for service businesses. Depending on your plan, the Service lets you schedule jobs and appointments, manage clients, create and send estimates, proposals, contracts, and invoices, accept online payments through third-party processors, manage employees and timesheets, sync with calendars and accounting tools, and use AI-assisted features and assistant integrations.

We may add, change, or remove features over time. We will try to give reasonable notice of changes that materially reduce core functionality of a paid plan.

3. Accounts

• You must be at least 18 years old and able to form a binding contract to use the Service.
• You must provide accurate account information and keep it up to date.
• You are responsible for keeping your login credentials secure and for all activity under your account, including activity by employees or team members you invite.
• Notify us promptly at support@bobiboapp.com if you believe your account has been accessed without authorization.

4. Subscriptions, Billing, Trials, and Cancellation

• Paid plans are billed in advance on a monthly or annual basis at the prices shown on our pricing page at the time of purchase, plus any applicable taxes.
• New paid subscriptions may include a free trial (currently 7 days). Unless you cancel before the trial ends, your subscription will begin and your payment method will be charged automatically when the trial ends.
• Subscriptions renew automatically at the end of each billing period until cancelled.
• You can cancel at any time from your account settings. Cancellation takes effect at the end of your current billing period, and you keep access to paid features until then.
• Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial billing periods or unused features.
• We may change our prices. Price changes apply at your next renewal, and we will notify you in advance of any increase.
• Subscription payments are processed by Stripe. If a payment fails, we may suspend or downgrade your access until payment is made.

5. Payments Processed by Third Parties

Bobibo lets you accept payments from your clients through third-party payment processors, including Stripe and PayPal. Bobibo is not a bank, money transmitter, or payment processor, and we never hold your funds. Payments to you are processed and settled directly by the processor you connect.

Your use of a payment processor is governed by your agreement with that processor, including its fees, payout schedules, reserves, chargeback and dispute rules, and account verification requirements. You are responsible for your relationship with your clients, including pricing, refunds, disputes, and taxes on amounts you collect. We are not responsible for a processor's actions, outages, holds, or decisions about your account.

6. Your Content and Customer Data

You own the data you put into the Service, including information about your business, clients, employees, jobs, invoices, and documents ("Your Content"). You grant us a limited license to host, process, transmit, and display Your Content only as needed to provide, secure, and support the Service and as described in our Privacy Policy.

You are responsible for Your Content and for having all rights, notices, and consents required by law to collect it and to use it in the Service. In particular, before you use Bobibo to send emails, invoices, reminders, or other messages to your clients, you are responsible for having their permission to contact them and for complying with applicable anti-spam, privacy, and consumer protection laws.

7. Acceptable Use

You agree not to, and not to let anyone else:

• Use the Service to send spam, unsolicited bulk messages, or messages to people who have not agreed to hear from you.
• Use invoices, estimates, payment links, or other emails sent through the Service for phishing, fraud, impersonation, or to request payment for goods or services you did not provide.
• Upload or send content that is unlawful, infringing, deceptive, harassing, or that contains malware.
• Attempt to access accounts or data that are not yours, probe or bypass our security, or disrupt the Service.
• Scrape, reverse engineer, or resell the Service, or use it to build a competing product, except as permitted by law.
• Use the Service in violation of any applicable law, including tax, employment, and consumer protection laws.

We may remove content, limit sending, or suspend accounts that we reasonably believe violate this section.

8. AI Features and Assistant Integrations

The Service includes AI-assisted features (for example, drafting contracts and proposals, business insights, and chat assistance) and lets you connect AI assistants such as ChatGPT and Claude to your Bobibo account.

• AI output can be inaccurate, incomplete, or inappropriate for your situation. It is not legal, tax, financial, or other professional advice. Review and verify AI output, including any generated contract or document, before relying on it or sending it to anyone.
• You are responsible for confirming actions before they are carried out. When you connect an AI assistant, it can act in your Bobibo account (for example, creating clients, scheduling jobs, or sending invoices) within the access you approve.
• Actions taken through a connected assistant at your instruction are treated as actions taken by you, and you are responsible for them.
• Your use of a third-party assistant is also governed by that provider's own terms and privacy policy. We are not responsible for how the assistant provider handles your conversations or the data returned to it.
• You can disconnect an assistant at any time from the assistant's settings or from your Bobibo dashboard.

9. Third-Party Services

The Service works with third-party services you choose to connect, such as Google Calendar, Microsoft Outlook, Apple iCloud calendars, QuickBooks, Stripe, PayPal, and AI assistants. Your use of those services is governed by their terms, and we do not control and are not responsible for them. If a third party changes or discontinues its service or API, related Bobibo features may stop working.

10. Intellectual Property

Except for Your Content, the Service and all related software, design, text, graphics, and trademarks are owned by Bobibo or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms during your subscription. If you send us feedback, we may use it without obligation to you.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, create risk or legal exposure for us or others, or if required by law. Where reasonable, we will give notice and an opportunity to fix the issue first.

After termination, your right to use the Service ends. You may request an export of Your Content before your account is closed. We will delete or retain Your Content as described in our Privacy Policy. Sections that by their nature should survive termination, including fees owed, disclaimers, limitation of liability, and governing law, will survive.

12. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that calendar or accounting syncs will always be complete or timely, or that AI output will be accurate. You are responsible for your business decisions, including tax, payroll, and legal compliance.

13. Limitation of Liability

To the fullest extent permitted by law, Bobibo and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages.

Our total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) US $100. Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.

14. Indemnification

You agree to defend and indemnify Bobibo against claims, losses, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, messages you send to your clients through the Service, or your violation of these Terms or applicable law.

15. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law rules. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you and we consent to their jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before they take effect. Your continued use of the Service after the changes take effect means you accept the updated Terms.
